Legal Nature of Platform and Point of Sale Fulfillment
The User explicitly acknowledges that this website functions strictly as a Digital Product Catalog and Local Order-Booking Interface for the Company’s physical retail and distribution operations. The Company does not operate a digital marketplace or a decentralized network.
- All commercial contracts, billing processing, and final product handling are legally executed at the Company’s principal registered physical place of business: 105, Khasgi Ka Bagicha, Indore, Madhya Pradesh – 452015, under FSSAI Retailer Registration Number: 21426850004868.
- All items are securely held in bulk lots at our physical premises and are packed on demand into retail containers only after an order confirmation is recorded.
- Final delivery is fulfilled locally from this Indore facility via third-party logistics agents. Consequently, the legal “Point of Sale” and jurisdiction for all inventory compliance, food safety tracking, and commercial taxation remain localized to our physical address.
Disclaimer of Warranties and Accuracy of Information
To the maximum extent permitted by applicable law, the Website, its content, and all products are provided on an “as is” and “as available” basis, strictly without warranties of any kind, either express or implied. The Company hereby unequivocally disclaims any and all representations or warranties regarding the absolute accuracy, completeness, reliability, or timeliness of any statements, product descriptions, or information provided on this platform. The User explicitly acknowledges that statements and information provided may contain errors, inaccuracies, or omissions, and the Company assumes no liability for reliance upon such information.
Absolute Limitation of Liability and Compensation
Under no circumstances, legal theory, tort, contract, strict liability, or otherwise, shall Anna Vipani LLP, its partners, affiliates, officers, or employees be liable to you or any third party for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the use of our website or the consumption of our products. The User irrevocably waives any and all rights to demand, pursue, or claim any financial compensation, monetary remuneration, damages, or equitable relief from the Company under any circumstances.
Strict Precondition for Dispute Resolution (Grievance Protocol)
As an absolute condition precedent to initiating any formal dispute, claim, or regulatory complaint, the Customer is legally obligated to first notify the Company directly via our officially designated email address. Any failure by the Customer to first exhaust this internal grievance protocol shall constitute a material breach of this Agreement and render any subsequent external claims null, void, and legally barred. The Company reserves an exclusive period of thirty (30) working days from the date of the formal email complaint to investigate and resolve the issue.
Exclusive Remedy: Spoilage Replacement Policy
Notwithstanding any prior communications, oral or written, Anna Vipani LLP strictly enforces a no-refund and no-return policy for all products and services. All sales are final. The Company’s sole liability, and the Customer’s exclusive and sole remedy, shall be strictly limited to the replacement of the exact product purchased, and only under the following explicit conditions:
- The Customer must provide incontrovertible evidence that the product was delivered in a severely “spoiled” state or was inherently biologically unfit for consumption at the precise time of delivery.
- If a product is found to be damaged in transit, the Customer must report the damage directly to the delivery personnel immediately before accepting the parcel. Transit damage not reported to the courier at the time of delivery does not constitute valid grounds for replacement.
- Any approved replacement remains subject to the aforementioned thirty (30) working day investigation and verification period at the sole discretion of the Company.
Mandatory Storage Protocols and Assumption of Risk
The Customer explicitly acknowledges and accepts that Anna Vipani LLP deals exclusively in minimally processed, natural agricultural goods. The Customer is fully aware that these products are intentionally manufactured and handled without the use of synthetic chemicals, artificial preservatives, or chemical stabilizing agents. Consequently, the Customer assumes all inherent risks associated with the accelerated natural degradation and biological volatility of such preservative-free goods upon successful delivery.
As a strict condition precedent to maintaining any eligibility under the Company’s Exclusive Remedy: Spoilage Replacement Policy, the Customer is legally mandated to perform a complete transfer of all purchased goods from their original transit packaging into hermetically sealed, airtight, and completely moisture-proof storage containers within exactly twenty-four (24) hours of the courier’s recorded delivery timestamp. Any failure by the Customer to strictly execute and provide incontrovertible proof of adherence to this 24-hour mandatory storage protocol shall be legally classified as gross negligence and mishandling, and shall immediately, automatically, and irrevocably void any and all eligibility for product replacement, grievance
resolution, or any other remedy offered by the Company.
User Accounts & Security
If you create an account on our website, you are entirely responsible for maintaining the confidentiality of your account information, including your password, and for any and all activity that occurs under your account. We reserve the right to terminate accounts, remove or edit content, or cancel orders at our sole discretion, without notice, if we suspect fraudulent activity or a violation of these Terms.
Pricing, Tax Structures, & Shipping Interruptions
All prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue a product or service without notice. Anna Vipani LLP is not liable to you or to any third-party for any modification, price change, suspension, or discontinuance of a product.
- All product pricing displays are structurally governed under pre-packaged commodity tax codes. Purchases made through this interface for retail distribution quantities will attract applicable GST layers (including 5% structural rates), which will be itemized clearly on the invoice generated at our Indore fulfillment point.
- Delivery timelines provided on the website are estimates and are not guaranteed. The Company is not responsible for delays caused by third-party courier services, natural disasters, or unforeseen logistical issues beyond our control.
Indemnification
You agree to irrevocably indemnify, defend, and hold harmless Anna Vipani LLP, its partners, and its affiliates from and against any and all claims, demands, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your breach of these Terms, your use of the products, or your violation of any law or the rights of any third party.
Severability and Jurisdiction
In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions. These Terms shall be governed strictly by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the competent courts located in Indore, Madhya Pradesh.
